Terms of Service

1. Agreement

By accessing codecraftnm.com (the "Site") or engaging CODECRAFT LLC ("CODECRAFT", "we", "us") for services, you agree to these Terms of Service. Specific projects are governed by a signed proposal, statement of work or master services agreement ("Project Agreement"). If a Project Agreement conflicts with these terms, the Project Agreement controls.

2. Services

CODECRAFT provides software design, development, cloud, data and related consulting services. The scope, deliverables, timeline and fees for each engagement are set out in the applicable Project Agreement. Estimates are good-faith projections and are not guarantees unless expressly stated as fixed.

3. Client responsibilities

You agree to provide timely access to the information, people, systems and approvals reasonably needed to perform the services. Delays in providing these may affect timelines and fees.

4. Fees and payment

Fees are stated in US dollars. Unless otherwise agreed, invoices are due within 15 days of the invoice date. Fixed-scope phases are typically invoiced in milestones; dedicated teams and Care plans are invoiced monthly in advance. Invoices may be paid online through our secure payment page by card or ACH. Late balances may result in paused work after written notice.

5. Intellectual property

Upon payment of the applicable fees, you own all custom code, designs and documentation created specifically for you under a Project Agreement. CODECRAFT retains ownership of its pre-existing tools, libraries and know-how, and grants you a perpetual, royalty-free licence to use any of them incorporated into your deliverables. Open-source components remain subject to their own licences.

6. Confidentiality

Each party will protect the other's confidential information with at least reasonable care and use it only to perform or receive the services. We are happy to sign a mutual non-disclosure agreement before any confidential information is shared.

7. Warranties

We warrant that services will be performed in a professional and workmanlike manner. Defects in delivered work reported within 30 days of acceptance will be corrected at no charge. Except as expressly stated, the Site and services are provided without other warranties of any kind.

8. Limitation of liability

To the extent permitted by law, CODECRAFT's total liability arising from any engagement is limited to the fees paid for the services giving rise to the claim during the preceding three months. Neither party is liable for indirect, incidental or consequential damages.

9. Termination

Either party may terminate a Project Agreement as provided in that agreement. On termination, you pay for work performed through the termination date, and we deliver all completed and in-progress work product paid for to date.

10. Governing law

These terms are governed by the laws of the State of New Mexico, without regard to its conflict-of-law rules.
